Agreement to Terms
By accessing or using the services of Dev Team Solutions Limited ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
Services
Dev Team Solutions provides software development, database solutions, website development, IT support, and related technology services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate Statement of Work or Service Agreement.
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Respond to requests for information in a timely manner
- Review and approve deliverables within agreed timeframes
- Provide necessary access to systems, accounts, and resources
- Pay all fees according to the agreed payment terms
Intellectual Property
Client Materials
You retain all rights to materials, content, and intellectual property you provide to us. By providing these materials, you grant us a license to use them solely for the purpose of delivering our services.
Deliverables
Upon full payment, you will own the final deliverables created specifically for your project. However, we retain rights to:
- Pre-existing intellectual property and tools
- General methodologies and processes
- Portfolio rights to showcase the work (with your approval)
Third-Party Components
Our solutions may incorporate third-party software, libraries, or frameworks. These components remain subject to their respective licenses.
Payment Terms
Payment terms will be specified in your project agreement. Generally:
- Invoices are due within 30 days unless otherwise specified
- We reserve the right to suspend services for non-payment
- Late payments may incur interest charges
- Disputed charges must be raised within 14 days of invoice date
Project Changes and Scope
Changes to project scope, timeline, or deliverables must be agreed upon in writing. Additional work beyond the original scope may result in additional fees and timeline adjustments.
Warranties and Disclaimers
We warrant that services will be performed in a professional and workmanlike manner. However:
- We do not guarantee specific results or outcomes
- We are not responsible for third-party services or integrations beyond our control
- Services are provided "as is" unless specifically warranted in writing
Limitation of Liability
To the maximum extent permitted by law, our liability for any claim arising from our services is limited to the amount paid for those services. We are not liable for indirect, incidental, or consequential damages.
Confidentiality
We agree to keep confidential any proprietary information shared during the course of our engagement. This obligation continues for 3 years after project completion unless otherwise agreed.
Support and Maintenance
Post-launch support and maintenance services are available under separate agreements. Details regarding support response times, coverage, and fees will be specified in the support agreement.
Termination
Either party may terminate the agreement with written notice. Upon termination:
- You must pay for all work completed up to the termination date
- We will provide work completed to date
- Confidentiality obligations continue
Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.
Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to Terms
We reserve the right to modify these terms at any time. We will notify clients of material changes. Continued use of our services after changes constitutes acceptance of the new terms.
Entire Agreement
These Terms of Service, together with any project-specific agreements, constitute the entire agreement between you and Dev Team Solutions regarding our services.
